Because problem-solving is our focus, we often take the initiative in seeking out strategic buyers and sellers. When we initiate discussions on behalf of a client, Heartland will act with discretion and professionalism. If need be, we will advise clients on pricing strategies, transaction structure and timing. Heartland will work with all parties throughout negotiations to expedite a transaction to closing. Our goal is to optimize the results for both the buyer and seller. The Heartland Management Buyout Program is representative of our signature style.
Our Approach To Client-Initiated Relationships ...Seller Representation
Heartland's main area of expertise is in the representation of buyers and sellers in discrete negotiated transactions. However, for those sellers that choose to pursue an open, broad based, "sell to the highest bidder" auction process, Heartland has a strategic partnership with a well established, middle market investment bank that focuses exclusively on seller representation. The two firms are very complimentary in style and share a common vision and work ethic. In these retainer-based, sell-side engagements our strategic partner will act as the exclusive advisor to the seller and assist in positioning the company in the open marketplace. They will prepare a confidential information memorandum describing the seller's business; contact prospective buyers; and counsel as needed throughout negotiations to bring the transaction to a successful close.

Acquisition Search -
Heartland will act as advisor to the buyer when given a mandate to develop and conduct an acquisition search.
Debt Placement - Heartland will assist its clients in raising senior or subordinated debt for corporate expansion, restructuring or other needs.
Equity Placement -
Heartland will assist with transition and expansion needs through equity offerings in the private placement market.
